Badge Terms of Use

1. Badge Eligibility Criteria

Badges are issued only to projects that have successfully launched on the Pro Launch platform. You may only display a Badge if:

• Your project was officially submitted, approved, and listed on Pro Launch;
• Your account is in good standing and not currently suspended or terminated;
• You are displaying the Badge solely in connection with the specific project that earned it.

You may not transfer, assign, or use a Badge for any project or entity other than the one for which it was originally issued.

2. Usage Rights and Restrictions

Pro Launch grants you a limited, non-exclusive, non-transferable, revocable right to display the Badges on your project's website, marketing materials, and social media channels, subject to the following restrictions:

• No Alteration: You must display the Badges exactly as provided. You may not alter the color, font, proportions, text, or design of the Badges in any way.
• Linking Requirement: When displayed online, the Badge must hyperlink directly to your project's page on Pro Launch or the Pro Launch homepage (https://prolaunch.net).
• No Endorsement: You may not display the Badges in a manner that implies Pro Launch endorses, sponsors, or is affiliated with your company, products, or services beyond the fact that your project was listed on our platform.
• No Misleading Use: You may not use the Badges in any way that is misleading, defamatory, libelous, obscene, or otherwise objectionable, or that violates any law or regulation.

3. Upvote Badge

In addition to the standard Badges, eligible projects may choose to display an optional Upvote Badge showing the total number of upvotes the project has received on Pro Launch. The standard Featured Badge remains the default. The following additional terms apply to the Upvote Badge:

• Eligibility: The Upvote Badge is available to projects that are live on Pro Launch (currently launching or launched), on every launch tier, including free launches.
• Hosted Image: The Upvote Badge is served by Pro Launch from a unique, permanent address assigned to your project. You must embed it from that address using the code provided on your badges page, and you may not download, copy, edit, re-host, or proxy the image to change or freeze the number shown.
• Displayed Count: The count reflects upvotes recorded on Pro Launch and is refreshed approximately once per hour, so it may temporarily differ from the number shown on your project page. Upvotes found to be fraudulent or automated may be removed, which lowers the count.
• Badge Address: The badge address is tied to a single project and cannot be transferred, changed, or regenerated.
• Availability: If your project is no longer eligible, is removed from Pro Launch, or if the image is requested excessively, the address may serve a neutral badge without a count or no image at all. Pro Launch may rate-limit or stop serving the Upvote Badge at any time.

All other provisions of these Badge Terms, including the linking requirement and the restrictions on alteration and misleading use, apply to the Upvote Badge.

4. Pro Founder Badge

Users who have purchased a Founder Pass may display an optional Pro Founder Badge on their own website. It links to their public Pro Launch profile and shows whether their Pro Founder status is active. The following additional terms apply to the Pro Founder Badge:

• Eligibility: The Pro Founder Badge is offered to accounts that have purchased a Founder Pass and have a public username. It represents the account holder, not any particular project.
• Displayed Status: The badge shows the Pro Founder status only while that status is active. Once the status expires, or ends because of a refund, a chargeback, or a void under the Founder Pass terms, the same address serves a neutral Pro Launch badge that makes no Pro Founder claim. The status is refreshed approximately once per hour, so a change may take up to an hour to appear.
• Hosted Image: The badge is served by Pro Launch from a unique, permanent address assigned to your account. You must embed it from that address using the code provided in your dashboard or on your profile, and you may not download, copy, edit, re-host, or proxy the image, or otherwise display a Pro Founder claim after your status has ended.
• Profile Link: The badge must link to your Pro Launch profile at the address in the embed code. If you change your username, the previous link stops working and you must update your embed code.
• Personal Use: The badge refers to you or your agency only. It cannot be transferred, and it may not be displayed in a way that suggests a product, client, or other person holds Pro Founder status or is endorsed by Pro Launch.
• Availability: If the image is requested excessively, Pro Launch may rate-limit or stop serving the Pro Founder Badge at any time.

All other provisions of these Badge Terms, including the restrictions on alteration and misleading use, apply to the Pro Founder Badge.

5. Intellectual Property Ownership

All rights, title, and interest in and to the Badges, including all associated intellectual property rights (such as copyrights and trademarks), remain the exclusive property of Pro Launch.

Your use of the Badges does not grant you any ownership rights or intellectual property rights in the Badges or any other Pro Launch branding. All goodwill generated from your use of the Badges will inure to the benefit of Pro Launch.

6. Limitation of Liability

The Badges are provided “as is” without any warranties, express or implied. To the fullest extent permitted by law, Pro Launch disclaims all warranties regarding the Badges, including any warranties of non-infringement.

In no event shall Pro Launch be liable for any direct, indirect, incidental, special, consequential, or exemplary damages arising out of or in connection with your display or use of the Badges.

7. Modification and Termination

Pro Launch reserves the right to modify these Badge Terms or the design of the Badges at any time. We will notify you of material changes by updating the Effective Date above.

We reserve the right to revoke your permission to use the Badges at our sole discretion, at any time, and for any reason, including but not limited to your violation of these Badge Terms or our Terms of Service.

Upon revocation or termination, you must immediately remove all instances of the Badges from your websites, applications, and marketing materials.

8. Compliance and Dispute Resolution

You agree to comply with all applicable laws, rules, and regulations in connection with your use of the Badges.

Any disputes arising out of or relating to these Badge Terms or your use of the Badges will be governed by the laws of the State of Wyoming and resolved through binding arbitration, as detailed in our Terms of Service.
