Badge Terms of Use

1. Badge Eligibility Criteria

Badges are issued only to projects that have successfully launched on the Pro Launch platform. You may only display a Badge if:

• Your project was officially submitted, approved, and listed on Pro Launch;
• Your account is in good standing and not currently suspended or terminated;
• You are displaying the Badge solely in connection with the specific project that earned it.

You may not transfer, assign, or use a Badge for any project or entity other than the one for which it was originally issued.

2. Usage Rights and Restrictions

Pro Launch grants you a limited, non-exclusive, non-transferable, revocable right to display the Badges on your project's website, marketing materials, and social media channels, subject to the following restrictions:

• No Alteration: You must display the Badges exactly as provided. You may not alter the color, font, proportions, text, or design of the Badges in any way.
• Linking Requirement: When displayed online, the Badge must hyperlink directly to your project's page on Pro Launch or the Pro Launch homepage (https://prolaunch.net).
• No Endorsement: You may not display the Badges in a manner that implies Pro Launch endorses, sponsors, or is affiliated with your company, products, or services beyond the fact that your project was listed on our platform.
• No Misleading Use: You may not use the Badges in any way that is misleading, defamatory, libelous, obscene, or otherwise objectionable, or that violates any law or regulation.

3. Intellectual Property Ownership

All rights, title, and interest in and to the Badges, including all associated intellectual property rights (such as copyrights and trademarks), remain the exclusive property of Pro Launch.

Your use of the Badges does not grant you any ownership rights or intellectual property rights in the Badges or any other Pro Launch branding. All goodwill generated from your use of the Badges will inure to the benefit of Pro Launch.

4. Limitation of Liability

The Badges are provided “as is” without any warranties, express or implied. To the fullest extent permitted by law, Pro Launch disclaims all warranties regarding the Badges, including any warranties of non-infringement.

In no event shall Pro Launch be liable for any direct, indirect, incidental, special, consequential, or exemplary damages arising out of or in connection with your display or use of the Badges.

5. Modification and Termination

Pro Launch reserves the right to modify these Badge Terms or the design of the Badges at any time. We will notify you of material changes by updating the Effective Date above.

We reserve the right to revoke your permission to use the Badges at our sole discretion, at any time, and for any reason, including but not limited to your violation of these Badge Terms or our Terms of Service.

Upon revocation or termination, you must immediately remove all instances of the Badges from your websites, applications, and marketing materials.

6. Compliance and Dispute Resolution

You agree to comply with all applicable laws, rules, and regulations in connection with your use of the Badges.

Any disputes arising out of or relating to these Badge Terms or your use of the Badges will be governed by the laws of the State of Wyoming and resolved through binding arbitration, as detailed in our Terms of Service.
